Legal support

Provide support for Legal support function as follows:

  • Provide legal support to the Bank under close supervision of Head Legal & Sr. Manager Legal.
  • Effective management of the legal risks of the bank.
  • Supervise and monitor correspondences related to regulator, government authorities and agencies on legal issues referred.
  • Vet / review new products to be launched by the Bank from a legal prospective.
  • In conjunction with Group/regional Legal where appropriate assist Head Legal & Sr. Manager Legal in formulating strategies for progressing speedy dispute resolution, and overseeing local litigation to achieve recovery or minimize the Bank’s losses.
  • Provide legal advices on the issues related to day-to-day business of the Bank such as security documents, collateral security, agreement papers etc…
  • Represent the Bank to the Courts and other regulators on legal issues where necessary as per the guidance of Sr. Manager Legal.
  • Review and vet all loan documents including mortgage deed, all contracts/agreements and prepare fresh legal documents where necessary.
  • Provide training to the Bank’s staffs on legal matters/ legal documentations to protect the interest of the Bank.
  • Liaison with the External Lawyer(s), Courts/Tribunals/other government institutions (such as Debt Recovery Tribunal (DRT), Registrar of Companies, Nepal Rastra Bank , Land Revenue Offices etc.) for managing legal issues on behalf of the Bank. Liaison with all internal contacts in legal matters.
  • Preparation or liaison in preparation of cases/responses in regards to cases in which the Bank is a party and to prepare/modify Memorandum/Article of Association/Bye Laws etc as per the requirement.
  • Analyzing the probable outcomes of legal matters, using knowledge of existing laws and precedents and advise the Bank concerning legal transactions, or legal rights and obligations by interpreting laws, rules and regulations.

Support to the Company Secretary

Provide support to the Company Secretary function as follows:

 

  • Support to the Company Secretary on board meeting and Annual General Meeting of the shareholders related matter.
  • Support to implement or make arrangements for implementing the directives issued by the Office of the company Registrar or the concerned agencies.
  • Support to submit the statements, documents, decisions, etc. to be submitted by the company to the Office of the company Registrar or any other agency.
  • Coordinate Annual General Meeting (AGM) of Shareholders as per the guidance of the Company Secretary.
  • Support to the Company to update the GCS blueprint system.

 

Share Operations: To manage the Share Operations function of the Bank providing smooth services to the shareholders and maintaining checks and controls in processing shares transfer transactions under close supervision of the Company Secretary as follows.

Share Transfers, Pledge, Release and Split:

  • To review & supervise shareholders signature verification for processing of share transfers, dividend warrants, and shares pledge, and shares split documents.
  • Duel verifying and approving the transactions related to share transfers (purchase/sales) in the applications and in the system (PCS) inputted by the sub ordinate staff of the department received from Nepal Stock Exchange Ltd as per the service guarantee issued.
  • Dual verifying and approving the demated shares of our shareholders in the Clearing and Depository System (CDS).
  • To supervise share certificates in terms of correctness of name of shareholders with the total number of shares before signing by the Company Secretary.
  • To review & supervise the shares transfer deed encumbrance from any type of restriction as per Bank & Financial Institutions Act and other restrictions such as maximum and the minimum holding of the shares, shares pledge, lost, split, on receipts of share transfer deeds inputted by the sub ordinate staff, signature, address and other amendment at the end of the day.
  • To check & supervise the record of tracking timely completion of new certificate is issued by cancellation of old certificate.
  • Duel checking of pledge and release applications of the shares received from different pledge company and putting the lien in the system by tallying with the system generated report.
  • To verify pledged shares are received from authorized person/companies, are valid & match with the shareholders register and supported by shareholders concurrence.
  • To obtain the official signature card of the different companies for pledging and releasing the shares.
  • To review the shareholders address update, contact numbers, signature and other information in PSMS system at the end of the day.
  • To approve the scan signatures of new shareholders, amend old signatures and update signatures of the minor shareholders with the receipt of the letter of changing the minor shareholders to the major entered by the sub ordinate staff.
  • Monthly verifying the fees and charges for the shares transfer deeds with the system.
  • To ensure legal formalities are fully complied with in case of lost share certificate, and death transfer.
  • Maintenance and presenting the shareholders register as required by the regulators.
  • Maintenance of the service guarantee of the shareholder registers.

 

Support for the Annual General Meeting (AGM)

 

  • To prepare documents for conducting AGM such as update, finalize and print the shareholder’s list for the AGM, shareholders identification/ attendance in the AGM.
  • To prepare pre AGM related works such as to comply statutory requirement like submit the report to the Office of the Company Registrar before 21 days of AGM, to issue the publication of AGM notice, etc
  • To prepare post AGM related works such as to comply statutory requirement like distributing dividend and bonus shares to the shareholder address through courier within 45 days of the AGM, preparing and finalizing the list of the shareholders for the calculation by the Finance Dept, to review all the share transfer completed by sub ordinate staff.
  • Arrange to distribute Annual Reports and AGM minutes within stipulated timeframe to all the shareholders.

Handling of the Dividend Warrants and Bonus Shares

  • Review the data regarding of keeping lien to the pledged shares and the bonus and dividend also.
  • Reconciliation of 20 G/L dividend payment accounts in the ebbs system and PCS system is done on monthly basis with "0" tolerance.
  • Reconciliation on unclaimed and in undelivered dividend warrant cheque and the bonus share certificate is also done in monthly basis with the generation of the manual report.
  • Arrange & supervise to print total number of dividend warrant and bonus shares certificates as declared by Annual General Meeting of the bank.
  • To perform year end reconciliation of the dividend amount and keeping proper back up of the system and submit the report to different authorities like bank's reconciliation department, office of the registrar (OCR) and NRB.

Operation Risk Management:

  • To perform the departmental budget, monthly Fixed Asset Reconciliation, Review BCP of the department and the timely amendments in DOI of the department.
  • To update BCP of the department.
  • To check daily health & safety inspection and forward the report monthly.
  • Handling referrals from Investigation authorities of share related transaction.
  • Initiate process and collect data asked by investigation authorities pertaining to share management.
  • Review and ensure the database of BLOCKED shares pertaining to share management.
  • Blocking of shares requested by investigating authorities with 100% accuracy.
